1. Introduction and Acceptance

Welcome to Feedback Coach ("Platform," "Service," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Feedback Coach intelligent readiness platform, including all associated websites, applications, APIs, and services.

By accessing or using our Service, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an educational institution ("Institution"), you represent that you have the authority to bind that Institution to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

  • "Assessment Readiness" refers to Tier 1 of our platform, which verifies student understanding of assessment briefs and learning outcomes.
  • "Authorized User" means any individual granted access to the Service by an Institution, including students, faculty, tutors, and administrators.
  • "Educational Data" means all data relating to students' academic progress, assessment interactions, quiz results, draft submissions, and readiness verifications.
  • "Express Review" refers to Tier 3 of our platform, providing diagnostic scanning of student drafts.
  • "Feedback Quiz" refers to Tier 2 of our platform, providing knowledge assessment and gap identification.
  • "Institution" means a university, college, or other educational establishment that subscribes to the Service.
  • "Institutional Administrator" means personnel authorized by the Institution to manage the Service on behalf of the Institution.
  • "Learning Outcomes" means the academic objectives and criteria defined by the Institution for assessments.
  • "Student Data" means Personal Data and Educational Data relating to students using the Service.

3. Description of Service

3.1 Platform Overview

Feedback Coach is an intelligent readiness platform designed to support educational institutions in improving student retention, satisfaction, and academic outcomes. The Service operates through three integrated tiers:

Tier 1 - Assessment Readiness: Interactive verification tools that ensure students understand assessment requirements before beginning their work. Tier 2 - Feedback Quiz: Diagnostic quizzes that identify knowledge gaps and provide targeted feedback mapped to specific learning outcomes. Tier 3 - Express Review: High-speed diagnostic scanning of student drafts, offering verification of readiness before final submission.

3.2 Platform Limitations

Feedback Coach is designed as a readiness verification tool and educational support system. The Service:

  • Does not generate answers, essays, or academic content for students
  • Does not replace tutors or instructors but enhances their effectiveness
  • Does not guarantee academic success but provides tools to improve readiness
  • Does not perform plagiarism detection as a primary function

3.3 Integration

The Service is designed to integrate with Learning Management Systems (LMS) via LTI (Learning Tools Interoperability) standards and other compatible educational technology infrastructure.


4. User Accounts and Registration

4.1 Institutional Accounts

Institutions must register for the Service through our enterprise enrollment process. Upon registration, Institutions will designate Institutional Administrators who will manage user access and platform configuration.

4.2 Authorized User Access

Authorized Users may access the Service through:

  • Single Sign-On (SSO) integration with institutional identity providers
  • LTI integration through the Institution's LMS
  • Direct account credentials provided by the Institution

4.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach
  • Ensuring that your use complies with your Institution's policies

4.4 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraudulent or harmful activities
  • Attempt to circumvent platform security measures
  • Misuse the Service in ways that harm other users or the Institution

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service to:

  • Verify understanding of assessment requirements (students)
  • Complete diagnostic quizzes and receive feedback (students)
  • Submit drafts for readiness verification (students)
  • Monitor student readiness and engagement (faculty/administrators)
  • Access analytics and reporting dashboards (authorized personnel)
  • Configure learning outcomes and assessment criteria (authorized personnel)

5.2 Prohibited Uses

You may not use the Service to:

Academic Integrity Violations:
  • Submit work that is not your own for review
  • Share assessment answers or quiz responses with other students
  • Use the Service to facilitate cheating, plagiarism, or academic dishonesty
  • Manipulate readiness scores or analytics data
Platform Abuse:
  • Attempt to reverse engineer, decompile, or extract source code
  • Circumvent security measures, access controls, or usage limits
  • Introduce malware, viruses, or harmful code
  • Scrape, harvest, or collect data without authorization
  • Resell, sublicense, or redistribute the Service
  • Use automated tools or bots without written permission
Harmful Conduct:
  • Harass, threaten, or discriminate against other users
  • Upload offensive, illegal, or inappropriate content
  • Impersonate other users or misrepresent your identity
  • Interfere with other users' access to the Service

5.3 Content Standards

All content uploaded to the Service, including assessment briefs, learning outcomes, and student submissions, must:

  • Not infringe intellectual property rights of third parties
  • Not contain illegal, defamatory, or harmful material
  • Comply with applicable laws and institutional policies

6. Intellectual Property Rights

6.1 Platform Ownership

Feedback Coach and its licensors retain all rights, title, and interest in and to the Service, including:

  • The platform software, algorithms, and technology
  • User interface designs and visual elements
  • Trademarks, logos, and brand assets
  • Documentation and training materials

6.2 Institution Content

Institutions retain ownership of all content they upload to the Service, including:

  • Assessment briefs and rubrics
  • Learning outcomes and criteria
  • Course materials and configurations
Institutions grant Feedback Coach a limited, non-exclusive license to use such content solely for providing the Service.

6.3 Student Content

Students retain ownership of their academic work, including drafts submitted for review. By using the Service, students grant Feedback Coach a limited license to:

  • Process and analyze submitted content for readiness verification
  • Store content securely for the duration necessary to provide the Service
  • Generate anonymized, aggregated insights for platform improvement
We do not use student submissions to train AI models or share individual student work with third parties.

6.4 Feedback and Analytics

Feedback Coach retains ownership of:

  • Generated feedback, suggestions, and readiness assessments
  • Analytics, reports, and aggregated insights
  • Platform improvements derived from usage patterns

7. Fees and Payment

7.1 Subscription Fees

Institutions agree to pay the fees specified in their service agreement. Fees may be based on:

  • Number of enrolled students
  • Number of active users
  • Feature tiers and modules enabled
  • Duration of the subscription period

7.2 Payment Terms

Unless otherwise specified in the service agreement:

  • Fees are invoiced annually in advance
  • Payment is due within 30 days of invoice date
  • All fees are non-refundable except as required by law

7.3 Fee Changes

We may modify fees upon renewal with at least 60 days' written notice. Continued use of the Service after fee changes constitutes acceptance.


8. Data Protection and Privacy

8.1 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

8.2 Data Processing Agreement

Institutions processing personal data of EU residents or other jurisdictions requiring data processing agreements may request execution of our standard Data Processing Agreement (DPA).

8.3 Student Data Protection

We are committed to protecting Student Data in accordance with:

  • General Data Protection Regulation (GDPR)
  • Family Educational Rights and Privacy Act (FERPA)
  • Applicable state and national education privacy laws

8.4 Data Security

We implement appropriate technical and organizational measures to protect data, including:

  • Encryption in transit and at rest
  • Access controls and authentication
  • Regular security assessments and audits
  • Incident response procedures

9. Service Availability and Support

9.1 Service Level

We endeavor to maintain high availability of the Service. Specific uptime commitments may be detailed in your service agreement or Service Level Agreement (SLA).

9.2 Scheduled Maintenance

We may perform scheduled maintenance that temporarily affects Service availability. We will provide reasonable advance notice for planned maintenance windows.

Support is available to Institutional Administrators through:

  • Training resources and webinars
Enhanced support tiers may be available under separate agreement.

10. Disclaimers and Limitations of Liability

10.1 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet all your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected

10.2 Educational Disclaimer

Feedback Coach is a readiness verification tool and does not guarantee:

  • Student academic success or grades
  • Improvement in institutional metrics
  • Compliance with specific accreditation requirements
Academic outcomes depend on numerous factors beyond our control.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEEDBACK COACH SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from your use or inability to use the Service
Our total liability shall not exceed the fees paid by your Institution in the twelve (12) months preceding the claim.

10.4 Exceptions

Some jurisdictions do not allow limitation of certain warranties or liabilities. In such cases, our liability will be limited to the greatest extent permitted by law.


11. Indemnification

11.1 Institution Indemnification

Institutions agree to indemnify, defend, and hold harmless Feedback Coach and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Violation of these Terms
  • Institution content that infringes third-party rights
  • Misuse of the Service by Authorized Users
  • Breach of applicable laws or regulations

11.2 Feedback Coach Indemnification

We will indemnify Institutions against third-party claims that the Service infringes valid intellectual property rights, subject to:

  • Prompt notification of the claim
  • Sole control over the defense and settlement
  • Reasonable cooperation from the Institution

12. Term and Termination

12.1 Term

These Terms remain in effect for the duration specified in your service agreement or until terminated as provided herein.

12.2 Termination for Convenience

Either party may terminate with written notice as specified in the service agreement (typically 60-90 days before renewal).

12.3 Termination for Cause

Either party may terminate immediately if the other party:

  • Materially breaches these Terms and fails to cure within 30 days of notice
  • Becomes insolvent or enters bankruptcy proceedings
  • Engages in illegal activities

12.4 Effect of Termination

Upon termination:

  • Access to the Service will be revoked
  • Institutions may request export of their data within 30 days
  • We will delete or return Institution data as requested, subject to legal retention requirements
  • Provisions that by their nature should survive will remain in effect

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

13.2 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct negotiation for at least 30 days.

13.3 Arbitration

Disputes not resolved informally shall be submitted to binding arbitration under the rules of the London Court of International Arbitration (LCIA), with:

  • Arbitration seated in London, England
  • Proceedings conducted in English
  • A single arbitrator unless the parties agree otherwise

13.4 Exceptions

Either party may seek injunctive relief in courts of competent jurisdiction for:

  • Intellectual property infringement
  • Breach of confidentiality obligations
  • Unauthorized access or data breaches

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy and any service agreements, constitute the entire agreement between the parties regarding the Service.

14.2 Amendments

We may modify these Terms at any time. Material changes will be communicated via:

  • Email to Institutional Administrators
  • Notice within the Service platform
  • Updates to our website
Continued use after changes constitutes acceptance. If you disagree with changes, you must discontinue use.

14.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

14.4 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

14.5 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

14.6 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
